having trouble ungrouping a logo for client. Client wants logo one colour & i need to ungroup to fill. Its a .eps has many paths but will not ungroup anymore????? please help & suggest

I think eps is a finalized state (file).....To my knowledge you cannot edit points anymore I could be wrong.

You must be in Illustrator!!
Hit Control + Shift + G to ungroup (pc)
Keep doing that untill u can edit all the shapes u want!!
Should work!!
If your on a Mac, i dnt know the shortcuts, but do this!!
on the top tabes go
> Object
> Ungroup

it depends on exactly how the points and paths were created. You might want to try going up to object>expand it may be a complex path.
An easy way to make 2 color images in illustrator is to delet all your swatches except for registration and clear b/c those are default. then selecting the pantone PMS colors you need and dropping them into your swatch library, then its just a matter of dragging n dropping your desired color to fill your desired object. that easy.
remember if this is a color sensitive project you might want to calibrate your monitor using adobe gamma.
